Grooming companies for sale

Axiom-e specialises in working with existing management to groom businesses for sale. Our work in support of this nearly always involves us providing many of our other services and often includes acquiring other businesses as a precursor to the trade sale. For this reason the service is known as axiom-expansion. We facilitate the sale through our axiom-exit service which involves us in several tasks.

Although these are undertaken in the period immediately prior to a sale, Axiom-e seeks to work with its clients over a much lengthier period of time (usually up to two years) so that we can:

• assist with strategy development
• undertake the project work necessary to achieve the objectives and hence
• increase the chance of a successful sale.

Much of this work centres on ensuring that good financial controls and general management processes are introduced and that information is available in suitable formats for both management and potential acquirers.

Preparatory work

At the outset of an engagement to assist with grooming a company for sale (or as otherwise requested), we will undertake an axiom-evaluation. This is a high level business health check (as opposed to a statutory financial audit) which has been designed to identify strengths and weaknesses in a number of areas associated with the three key factors of Strategy, Finance and Management. These include:

• Business Development: to establish the overall strengths and weaknesses of the business as whole and to help with the development/review of the business's strategy
• Markets and Products: to assess the degree to which the business generates profitable sales whilst meeting customer needs
• Finance: to identify the robustness of financial systems, controls and processes and to develop forecasts to help ensure that sufficient levels of cash are available for business needs and suitable profits are made to attract interested acquirers
• People: to assess the degree to which staff are being used effectively and efficiently in the development and management of the business

As a result of the findings in the axiom-evaluation, we are inevitably asked to provide some or all of our other services such as business planning, management accounting and systems development.

Our Consultants have wide experience gained as Finance Directors of companies in the IT, Biotech, Pharmaceuticals, Manufacturing and Service sectors.

Our staff have been involved with more than 30 acquisitions and divestments of businesses and companies.

Amongst other achievements in grooming businesses for sale, our staff have specifically:

• identified and implemented divestment strategies for several operations
• negotiated with several potential and actual purchasers
• worked with purchasers' advisors and venture capitalists to structure deals
